The Robinhood Stock Tokens You Bought Are Just Debts from Jersey

Illegal gambling in barbershops has been a crime for a century. However, when operated by the state, it becomes a legal lottery. If a product is explicitly prohibited from being sold directly by law, how can it be monetized? Capital will always flow into channels that exploit regulatory loopholes.

Last week, Robinhood CEO Vlad Tene officially launched their own blockchain and stock tokens at a press conference themed "The World is Flat." The theme sounds clever, but the so-called stock assets that users buy are essentially "castles in the air."

When you purchase Nvidia stock tokens, you can only track the fluctuations of Nvidia's stock price without enjoying any statutory shareholder rights. If Nvidia's business collapses, you have no recourse to the company's assets. The tokenization model inherently carries such risks; Ondo has already submitted relevant filing documents to the U.S. SEC, but the regulatory plan remains unresolved.

The truth about Robinhood's product is that what you buy is not equity but debt securities.

These debt securities are issued by Robinhood Assets (Jersey) Limited. Users are essentially lending money to this shell company located on a tax haven island in the English Channel, which then pays you returns based on the corresponding stock's price fluctuations.

Rewind to June 2025 during the Cannes event, when Robinhood, to promote its product, distributed OpenAI and SpaceX private equity stock tokens for free to European users. These companies' equities are not publicly available, and ordinary investors have no channels for normal subscriptions. OpenAI publicly issued a risk warning upon seeing tokens misusing its name, stating that it had never authorized the circulation of such assets; OpenAI co-founder Elon Musk directly referred to these tokens as fakes. At that time, Robinhood CEO Tenev also admitted that these tokens are not technically equity and can only provide users with price exposure.

Since equity tokens can be directly created, why package them as debt and issue them through a Jersey shell company? The answer lies in the regulatory rules of the U.S. SEC. Equity represents ownership in a company, entitling holders to voting, dividends, and asset liquidation rights; debt is an obligation the company owes you, and creditors do not possess ownership of the company.

Robinhood's stock tokens are "debt instruments resembling equity," and holders are not legitimate shareholders of the listed company. Even if you buy Nvidia tokens, Nvidia itself is completely unaware of your existence.

What you actually hold is a debt certificate issued by the Jersey shell company, which promises to settle returns based on Apple's stock price. If Apple's stock price rises by 20%, this company will pay out a corresponding 20% return; however, if this Jersey shell company goes bankrupt, you will only become an ordinary creditor, waiting in line for liquidation payments. The real Apple stocks held by the shell company may cover your debt or may be insufficient, ultimately resulting in a total loss of principal, depending on the complexities of bankruptcy liquidation.

If Apple itself declares bankruptcy, your situation will be even more passive: you hold no Apple stocks, only a debt linked to Apple's stock price, and the underlying asset's value goes to zero, making the debt worthless.

Robinhood's design of this complex structure traces back to the company's most severe crisis: the GameStop short squeeze in January 2021. A large number of retail investors rushed to buy the stock, but Robinhood directly shut down the buying channel. The T+2 settlement mechanism in U.S. stocks led to a multi-billion dollar margin gap on the platform, unable to meet clearing guarantee requirements, forcing emergency trading restrictions. Many retail investors felt abandoned by the platform, and Congress specifically summoned Tenev for questioning, leading to a lasting decline in brand trust.

Five years later, this token product is seen as Tenev's solution: blockchain enables second-level settlements, completely abolishing the T+2 settlement cycle, eliminating the need for massive margin calls, theoretically never needing to shut down the buy button again. Since early 2026, he has continuously promoted this logic, and Robinhood had already submitted a 42-page regulatory proposal for token assets to the SEC in 2025, calling for the establishment of specific industry rules.

In January 2026, the SEC's three major divisions jointly released guidelines for classifying token securities, dividing related products into two categories: the first category is native equity tokens, where companies directly put their stocks on-chain, and holders possess full shareholder rights; the second category is associated securities, where third parties issue tokens simulating stock prices without any statutory shareholder rights. The SEC clearly states that such products can be packaged as structured notes (debt products), and holders will bear additional counterparty risks that ordinary shareholders do not face. If the issuer goes bankrupt, all losses will be borne by the investors.

In March of the same year, the SEC and the U.S. Commodity Futures Trading Commission (CFTC) jointly announced that the classification regulatory framework established in January would remain unchanged. Robinhood's deliberate choice to issue the second category of associated securities in Jersey is precisely to avoid regulatory red lines.

The regulatory documents also mention a similar product: securities-type swap contracts, which are essentially off-exchange bets against stock prices. However, federal regulations strictly limit participation to qualified institutions and high-net-worth professional investors, excluding ordinary retail investors.

In contrast, debt-type structured notes have no investor threshold restrictions, allowing even a 19-year-old with only $10 to participate. Robinhood ultimately chose this model, which has the broadest audience and the least regulatory resistance.

Meanwhile, U.S. domestic users are completely excluded. Stock tokens are open to users in over 120 countries, but the U.S., Canada, the UK, Switzerland, and the UAE are not included in the service range.

The European market adopts a different compliance structure. The classic stock tokens launched in Cannes in 2025 comply with EU MiFID II regulations and are issued by Robinhood's European entity, with tokens corresponding 1:1 to real stocks held in custody. The number of underlying assets has now expanded from 200 to over 2000, with a minimum entry of just 1 euro. This means that Robinhood can fully operate compliant real stock tokens in Europe, while the Jersey debt structure is a deliberate choice.

This model heavily relies on the logic of transparent pricing in the public market, where only listed companies like U.S. stocks with real-time trading have fair market prices. In contrast, private equity companies like Anthropic and OpenAI do not have publicly traded prices, and token valuations can only rely on subjective estimates from institutions, with no obligation for companies to disclose information, making risks completely uncontrollable.

Additionally, Robinhood's Robinhood Earn product independently offers a 7% annualized return, available only to U.S. users. Users lend stablecoin USDG, which first flows into the Morpho lending vault operated by Steakhouse Financial, and then is distributed to various DeFi protocols like Ethena and Maple. The Morpho vault has a deposit scale of about $6.6 billion, and the yield fluctuates with market lending demand.

Robinhood has insured against smart contract theft with Lloyd's of London, but the policy does not cover the risk of yield going to zero. When market lending demand shrinks, the yield will decline in sync with money market fund rates. User funds must go through multiple intermediaries, including Robinhood, Steakhouse, and Morpho. If USDG decouples or there are widespread defaults by borrowers, insurance will not cover the losses, which is also a common cause of principal loss for such products.

Tokens are stored on-chain and support staking and lending, which seems convenient, but smart contracts cannot directly read stock prices and must rely on oracles for price feeds. If the oracle feeds false prices, the contract may incorrectly liquidate user assets or issue loans in violation of regulations. From 2024 to 2025, price manipulation by oracles was a core method for large-scale theft in DeFi, resulting in losses of tens of millions of dollars for dozens of projects.

In the entire product system, the only legitimate native equity with complete shareholder voting rights is Robinhood's own stock HOOD, traded through traditional channels on NASDAQ. The platform keeps the real equity for itself.

The underlying business logic is clear. Robinhood earns a spread on every token transaction; the public chain belongs to itself, and the new overseas business can continuously beautify the listed company's financial reports, all without being subject to U.S. domestic regulatory constraints. The token business without actual equity has lower regulatory costs and cleaner profits.

Robinhood's public chain is built on the Arbitrum Orbit network, using ETH to pay gas fees, and has not issued a native platform token, avoiding the risks of token speculation. The company plans to create a one-stop settlement channel for stocks, ETFs, stablecoins, commodity perpetual contracts, and future private equity, achieving 24/7 on-chain trading. Robinhood was originally just an order distribution intermediary, but if the plan is realized, it will integrate the functions of an exchange and a clearinghouse.

Objectively speaking, current regulatory rules are rapidly iterating. The new SEC chair, Atkins, has overturned the previous regulatory approach of "sue first, regulate later" and is drafting an innovation regulatory sandbox exemption bill. The CLARITY Act has been submitted to the Senate for review since June. Once the bill is enacted, the regulatory gray area that Robinhood currently occupies will continue to narrow.

This approach is already well-known in the industry. Coinbase and Kraken expanded their businesses during regulatory gaps in the past, and once regulatory details were improved and industry demand validated, they completed their compliance qualifications. Today's Jersey debt tokens resemble Robinhood's transitional semi-finished products.

Just two days before the launch of Robinhood's stock tokens, on July 2, Ondo launched compliant token stocks on Ethereum, issued through SEC-registered transfer agents, with the tokens fully backed by real stocks, and holders enjoy on-chain voting rights, covering over 250 companies. Coinbase simultaneously listed this product, allowing U.S. users to trade legally, with dividends directly deposited into user accounts.

Operating under a complete compliance model in the U.S. incurs higher costs and is subject to regulatory oversight, while Robinhood has already borne this compliance cost in Europe. Therefore, the Jersey debt structure is a choice for Robinhood; in the future, either regulations will force an upgrade of the product, or competitors will launch compliant real stock tokens in the U.S. to steal customers.
