CleanCore raises 100 million dollars, dilutes shares to fund AI shift after Dogecoin sale
CleanCore's stock offering raised 100 million dollars, increasing its common shares from 226260684 to 502090260, reflecting a 121.9% dilution. The funds will support its transition from cleaning products and Dogecoin assets to AI infrastructure in Minnesota. An SEC filing on Aug. 20 revealed the issuance of 275829576 shares, with 524.2 million additional shares possible. CleanCore also issued pre-funded warrants for 124170424 shares and investor warrants for up to 400 million shares, potentially raising another 100 million dollars if exercised. The offering closed on Aug. 12, generating approximately 100 million dollars gross, with net proceeds estimated at 92 million dollars after fees. These funds will support a joint venture in Minnesota with commitments up to 500 million dollars and an initial budget of 479 million dollars. CleanCore sold 463 million DOGE on July 20 for about 33.4 million dollars, using the proceeds for AI infrastructure. The company's balance sheet as of March 31 showed 4.1 million dollars in cash and 13 million dollars in restricted cash, with no current cash balance disclosed post-sale.
